How we help
01
Corporate Governance

We regularly counsel clients on fundamental matters of Delaware corporate law, including entity selection and formation, corporate bylaws and company agreements, and meetings of directors and stockholders. But we also provide more specialized advice, including:

  • Mergers and acquisitions
  • Director and officer compensation
  • Delaware law opinions
  • Short- and long-form dissolutions
  • Indemnification

Whatever the matter, our advice is grounded in a practical understanding of Delaware law and how it operates in the real world.

02
Outside General Counsel

Lippstone Tweedie serves as outside general counsel to businesses and organizations across a range of industries, from healthcare and biotechnology to artificial intelligence. Our role varies with the needs of each client. For some, we provide advice on discrete matters requiring only a few hours each month; for others, we function as an extension of management, handling most or all of the organization’s legal needs on an ongoing basis. In either case, we provide the sustained attention, practical judgment, and familiarity with the client’s business that clients should expect from experienced general counsel.

03
Business, Contracts, and Commercial Law

The firm routinely advises clients in a wide variety of business transactions involving Delaware law, and we have extensive experience in negotiating and drafting business contracts of all types and levels of complexity. Among other transactions, we advise clients on issues relating to:

  • Commercial real estate, construction, and land use, including general contractor agreements, subcontractor agreements, easements, and rights-of-way
  • Seed and venture financing, including convertible notes, preferred stock, and Simple Agreements for Future Equity (SAFEs)
  • Licensing and Software-as-a-Service (Saas) Agreements
  • Asset sales, acquisition, and leasing
  • Employment issues, including consulting and confidentiality and non-disclosure agreements
04
Corporate and Commercial Litigation

We regularly serve as lead and local counsel in in matters before the Delaware Court of Chancery and the Delaware Superior Court involving fiduciary duties, trade secrets, corporate opportunity, and contract disputes.

01
Sound business counsel requires an understanding of the legal structure, the organization and the practical purpose behind the decision.
03
Our Perspective

Practical advice.
Built for the next decision.

A business decision rarely exists in isolation. A transaction can affect governance, operations, regulatory obligations and future disputes.

We approach each matter with the larger business objective in mind. Whether the client needs help evaluating an opportunity, negotiating an agreement or managing an ongoing legal issue, our focus remains practical: understand the stakes, identify the risks and provide a clear path forward.
